Johann Hartleben is a Partner of Legalsa, where he works in the Corporate/Commercial, Real Estate and M&A practices. He has specialized in the design of corporate structures in national and international jurisdictions, as well as the design of corporate governance structures and shareholder agreements. Johann has counselled local and foreign investors in structuring national and international business transactions and drafting and negotiating typical and atypical commercial contracts in English and in Spanish.
Johann’s recent experience includes due diligence and drafting and negotiation of contracts to support major M&A transactions: the acquisition of a leading telecommunications company in Guatemala foro ver US$300 million, as well as several smaller supplemental telecom acquisitions by the same client; the US$25 million acquisition of a storage and logistics services company; and the US$35 million acquisition of a Guatemalan company that receives, operates and sends cash remittances. He has advised and assisted Guatemalan entrepreneurs in expanding their business to, and starting local commercial operations in the United States and other countries in Latin America, with the assistance of local law firms working under his leadership and coordination in other jurisdictions. He also represented clients in commercial real estate transactions worth US$10 million, and assisted clients in the acquisition, financing and registration of private aircraft.
